Terms of Service

Provider: TierBench LLC, a Wyoming limited liability company ("TierBench," "we," "us," or "our")


1. Agreement to These Terms

These Terms of Service ("Terms") govern your access to and use of the TierBench platform, websites, applications, data, and related services (collectively, the "Service"). By creating an account, clicking to accept, or otherwise accessing or using the Service, you agree to be bound by these Terms.

The Service is intended for business use by organizations and their authorized personnel. If you accept these Terms on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that entity, and "you" refers to both you individually and that entity. If you do not have such authority, or do not agree to these Terms, do not use the Service.

2. Definitions

  • "Platform" means the TierBench software, interfaces, and tools made available to you.
  • "Data" means the rate, pricing, provider, facility, benchmark, and related information made available through the Service, including TierBench's compilations, normalizations, and derived analytics.
  • "Account" means the credentialed access TierBench provisions to you.
  • "Subscription" means a paid plan or access tier under which you use the Service.
  • "Source Files" means the machine-readable files published by payers under the federal Transparency in Coverage rule and other public sources from which Data is derived.

3. Eligibility and Accounts

You must be at least 18 years old and capable of forming a binding contract. You agree to provide accurate, current, and complete information at registration (including your company and role) and to keep it accurate. You are responsible for safeguarding your credentials and for all activity under your Account. Notify us promptly of any unauthorized use. Accounts are for the authorized individual or organization to whom they are issued and may not be shared, transferred, or accessed by unauthorized parties.

4. License to Use the Service

Subject to your compliance with these Terms and, where applicable, payment of fees, TierBench grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service and Data for your internal business purposes during your term of access.

5. Subscriptions, Fees, and Billing

The Service is offered through access tiers, which may include a free tier and one or more paid Subscriptions. The features, limits, and pricing of each tier are described at the point of sale or in your order or plan selection, which is incorporated into these Terms.

Fees for paid Subscriptions are due as specified in your plan and, unless stated otherwise, are non-refundable except as required by law. We may change pricing or plan features prospectively; for paid Subscriptions, material changes will not apply to your current paid term until renewal. Where billing is handled by a third-party payment processor, your use of that processor is also subject to its terms.

6. Acceptable Use and Restrictions

The Data is the core of TierBench's value and is protected accordingly. You agree that you will not, and will not permit any third party to:

  • copy, scrape, harvest, crawl, or systematically extract the Data or any portion of the Service except through functionality TierBench expressly provides;
  • resell, sublicense, redistribute, publish, or otherwise make the Data available to any third party, or use it to build, train, populate, or enhance any competing product, dataset, benchmark, or model;
  • reverse engineer, decompile, or attempt to derive the source code, structure, or underlying methodology of the Platform;
  • circumvent, disable, or interfere with any access control, rate limit, authentication, or security feature;
  • access the Service through automated means except via credentials and interfaces TierBench authorizes;
  • use the Service in violation of applicable law, or to infringe the rights of others;
  • misrepresent your identity, affiliation, or authority.

These restrictions survive termination with respect to Data already accessed.

7. Data Sources, Accuracy, and No Professional Advice

The Data is derived from publicly published Source Files and other sources. TierBench compiles, normalizes, and presents this information, but does not author the underlying rates and does not control the accuracy or completeness of the Source Files.

The Data is provided for informational and analytical purposes only. TierBench does not warrant that the Data is accurate, complete, current, or error-free, and the Data may reflect errors, omissions, or ambiguities present in the Source Files. The Data is not a substitute for independent verification with the relevant payer, provider, or counterparty, and should not be relied upon as the sole basis for any contracting, pricing, billing, or financial decision.

The Service does not provide legal, financial, accounting, actuarial, medical-coding, billing, or other professional advice. Benchmarks, comparisons, and analytics are tools to inform your own judgment and the judgment of your advisors, not recommendations. You are solely responsible for decisions you make using the Service.

8. Third-Party and Proprietary Codes

The Service may reference standardized code sets, including procedure and service codes that are proprietary to third parties (for example, CPT® codes, which are owned by the American Medical Association). Your use of any such codes through the Service is subject to the applicable owner's license terms, which may impose obligations on end users. TierBench makes no ownership claim to third-party code sets, and any required end-user license terms for such code sets are incorporated by reference and flow down to you.

9. Intellectual Property

As between the parties, TierBench owns all right, title, and interest in and to the Service, the Platform, and TierBench's compilations, normalizations, derived analytics, and presentation of the Data, together with all related intellectual property. No rights are granted except the limited license in Section 4. TierBench's names, logos, and marks may not be used without prior written permission.

You retain ownership of any content or inputs you submit. You grant TierBench a license to use such inputs as necessary to provide and improve the Service.

10. Confidentiality

Reports, exports, and Data made available to you may include compiled and processed information that, while derived from public Source Files, represents TierBench's confidential work product. You agree to use such materials only for your authorized internal purposes and not to disclose them to third parties except as permitted under these Terms.

11. Term, Suspension, and Termination

These Terms apply for as long as you use the Service. You may stop using the Service at any time. We may suspend or terminate your access, with or without notice, if you breach these Terms, if required to protect the Service or other users, or as otherwise permitted by law. Upon termination, your license ends and you must cease using the Service and Data. Sections that by their nature should survive (including 6, 7, 9, 10, 12, 13, 14, and 15) survive termination.

12. Disclaimer of Warranties

THE SERVICE AND DATA ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. TIERBENCH DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT THE DATA WILL MEET YOUR REQUIREMENTS.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TIERBENCH AND ITS MEMBERS, OFFICERS, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUES, DATA, OR BUSINESS, ARISING OUT OF OR RELATED TO THE SERVICE OR DATA, EVEN IF ADVISED OF THE POSSIBILITY. TIERBENCH'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO TIERBENCH FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

14. Indemnification

You agree to indemnify and hold harmless TierBench and its members, officers, and agents from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of your use of the Service, your violation of these Terms, or your violation of any law or third-party right.

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-laws principles. The parties consent to the exclusive jurisdiction and venue of the state and federal courts located in Wyoming for any dispute arising out of or relating to these Terms or the Service.

16. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the version number and effective date. For material changes, we will provide reasonable notice and may require you to re-accept the updated Terms before continuing to use the Service. Your continued use after an update becomes effective constitutes acceptance. The version of these Terms you accept is recorded with your Account.

17. Miscellaneous

These Terms, together with any order or plan and any policies referenced here (including the Privacy Policy), are the entire agreement between you and TierBench regarding the Service. If any provision is held unenforceable, the remainder stays in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. Notices will be provided through the Service or to the contact information associated with your Account.
